This Public Offer for participation in the AgroBank Corporate Accelerator program (hereinafter — the Program) is organized by AgroBank (hereinafter — the Bank) in partnership with AI Station (hereinafter — the Operator). The Offer defines the terms and conditions for participation in the Program and constitutes a public offer addressed to legal entities and their founders (hereinafter — Participants/Startups).
1.1 Application — Information submitted by the Participant when completing and sending the electronic registration form on the official Program page. 1.2 Selection — Evaluation of submitted applications by the Program Committee based on criteria including team strength, product maturity, relevance to AgroBank's operational needs, and scalability potential. 1.3 Program Committee — A group of experts responsible for evaluating applications and overseeing the Program. The Committee includes representatives of AgroBank, AI Station, and invited external experts. 1.4 Participant / Startup — A legal entity or founding team of a technology company accepted into the Program following the selection process. Participants must be duly registered companies or founding teams capable of entering into legal obligations. 1.5 Pilot Project — A structured trial conducted during the Program in which the Startup tests its solution with AgroBank's internal departments or SME clients, with defined scope, timeline, and success metrics. 1.6 Mentor — An expert from the Program's international and regional mentor network who provides guidance, feedback, and advisory support to Startups throughout the Program. 1.7 Demo Day / Summit — The final program event held in Tashkent at which Startups present their pilot results to AgroBank leadership, investors, corporate partners, and the broader ecosystem. 1.8 Rules — The participation rules set out in this Public Offer. 1.9 Tracker — The Program representative assigned to each Startup who conducts regular check-ins to monitor progress, remove blockers, and keep Pilot Project milestones on track.
2.1 By participating in the Program, Startups commit to actively engaging in all Program activities, conducting at least one Pilot Project with AgroBank's departments or SME clients, and presenting results at Demo Day / Summit. 2.2 The Program does not impose any financial obligations on Startups. There are no participation fees, equity requirements, or revenue-sharing obligations arising from acceptance into the Program. 2.3 This Public Offer and any annexes thereto are the official governing documents and are published on the Program's official website. 2.4 The Program is conducted over a period of 3 months (12 weeks), with activities held in Tashkent and, during the Regional Roadshow phase, in selected cities across Uzbekistan. 3.1 The Program aims to: Identify and onboard technology startups capable of solving real operational challenges across AgroBank's departments and SME client ecosystem. Enable startups to test, validate, and refine their solutions through structured pilot projects within a leading Central Asian bank. Accelerate startup growth through access to international mentorship, workshops, corporate resources, and strategic partnerships. Foster a regional innovation ecosystem by connecting Tashkent-based innovation with opportunities across Uzbekistan's key economic regions. Position AgroBank as Central Asia's leading corporate innovation and venture platform.
4.1 Participant Rights Submit an application for the Program in accordance with the published application form. Receive full access to Program resources including workshops, mentoring sessions, office hours, and network events. Retain full intellectual property rights over all solutions, products, and technologies developed prior to or during the Program. Withdraw from the Program at any time by submitting written notice to the Operator. Receive information about Program results and outcomes through official Program channels. 4.2 Participant Obligations Read and comply with the terms of this Public Offer and all Program Rules. Ensure that accurate and complete information is submitted in the application, including details of all founding team members. Commit to full and active participation in the Program in accordance with the Attendance and Participation Policy set out in Section 6. Designate at least one founder or C-level representative as the primary Program participant, who must be present at all key Program activities. Conduct at least one structured Pilot Project with an AgroBank department or SME client during the Program period, meeting agreed milestones and timelines. Submit all required milestone reports and deliverables on time as specified in the Program schedule. Participate in Demo Day / Summit and present pilot results to the Program audience. Maintain confidentiality of all proprietary information received from AgroBank or its clients during the Program, and not disclose such information to third parties without prior written consent. Refrain from using data, materials, or information provided by AgroBank for purposes outside the Program. Accept the decisions of the Program Committee with respect to selection, evaluation, and Program management without recourse.
5.1 AgroBank and AI Station Rights Request that Participants comply with all Program Rules and the terms of this Public Offer. Modify Program content, schedule, mentors, or format with reasonable notice to Participants. For material changes — including changes to Program dates, format, or cancellation of activities — reasonable notice means at least seven (7) calendar days in advance. For minor changes — including mentor substitutions or adjustments to session content — notice will be provided as soon as practicable. Remove a Participant from the Program in accordance with the procedures outlined in Section 6. Use information about Participants and their projects for marketing, PR, and communications purposes, in accordance with the notification procedure set out in Section 8.4. Amend this Public Offer with mandatory notification to active Participants. 5.2 AgroBank and AI Station Obligations Organize and deliver the Program in accordance with the published schedule and these Rules. Provide Participants with access to workshops, mentoring sessions, AgroBank department introductions, and corporate perks as specified in the Program materials. Facilitate the introduction of Participants to relevant AgroBank departments for the purpose of scoping and executing Pilot Projects. Ensure that Participant intellectual property is protected and that no claim is made to IP developed by Participants. Provide a structured Demo Day / Summit event for Participants to present their results.
6.1 The Program is intensive and designed for committed founding teams. The following attendance and participation standards apply to all accepted Startups: 6.2 Workshop Attendance Startups are required to have at least one founder or C-level representative attend all scheduled in-person workshops. A maximum of 2 (two) workshops may be attended remotely (online) per cohort, provided advance notice is given to the Program Coordinator at least 24 hours before the session. Missing more than 2 workshops without prior written notice to the Program Coordinator constitutes a material breach of participation obligations. 6.3 Pilot Project Milestones Each Startup must launch their Pilot Project no later than Week 4 of the Program. Startups must submit a Pilot Progress Report at the midpoint of the Program (end of Week 6). Final Pilot Results must be documented and submitted no later than 5 business days before Demo Day / Summit. Failure to launch a Pilot Project by Week 6 without written justification approved by the Program Committee constitutes a material breach. 6.4 Tracking Sessions Each Startup is assigned a dedicated Tracker who conducts regular check-ins to monitor progress, unblock issues, and ensure pilot milestones are on track. Startups must attend all scheduled tracking sessions — both group tracking meetings and individual 1:1 check-ins with their assigned Tracker. If a founder cannot attend a scheduled tracking session, they must notify their Tracker in writing at least 24 hours in advance and propose an alternative time within the same week. Missing 2 (two) or more tracking sessions without prior written notice constitutes a material breach of participation obligations. 6.5 Milestone Reporting Startups must submit all required milestone reports in the format and by the deadlines specified in the Program schedule. Missing 2 (two) or more milestone report deadlines without prior written notice constitutes a material breach of participation obligations. 6.6 Key Representative Requirement The designated primary participant (founder or C-level) must be the individual attending Program sessions. Junior team members may not be substituted as the sole representative at key Program activities, including workshops, mentor sessions, and Demo Day. 6.7 Warning and Removal Procedure In the event of a material breach of participation obligations, the following procedure applies: Step 1 — Written Warning: The Program Coordinator issues a formal written warning to the Startup founder outlining the breach and the steps required to remedy it within 5 business days. Step 2 — Remediation Period: The Startup has 5 business days to address the identified breach and confirm corrective action in writing. Step 3 — Removal: If the breach is not remedied within the remediation period, or if 2 or more written warnings are issued during the Program, the Program Committee may remove the Startup from the Program. Removed Startups forfeit access to all remaining Program resources, mentoring, and Demo Day participation. Removal decisions are made solely by the Program Committee and are final.
7.1 All intellectual property, including but not limited to software, algorithms, data models, methodologies, and business processes, developed by the Startup prior to or during the Program, remains the exclusive property of the Startup. 7.2 Participation in the Program does not transfer, assign, or create any claim by AgroBank or AI Station over Startup IP. 7.3 Any IP developed jointly by the Startup and AgroBank during a Pilot Project will be subject to a separate written agreement between the parties prior to commencement of joint development. 7.4 Startups grant AgroBank and AI Station a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to reference, describe, and display the Startup's name, logo, and the products and Pilot Project results developed in connection with the Program, for the purposes of internal reporting, PR, marketing, and the Operator's and the Bank's accelerator portfolio. This license survives the Startup's completion of, withdrawal from, or removal from the Program. It does not grant AgroBank or AI Station any rights to the Startup's underlying intellectual property, source code, or trade secrets, nor any right to commercially exploit the Startup's products, and any disclosure of confidential Pilot Project data remains subject to Section 8.4.
8.1 By accepting this Public Offer, the Participant agrees not to disclose to third parties any proprietary, commercial, technical, or operational information received from AgroBank, AI Station, or their clients in the course of the Program, without prior written consent. 8.2 All organizational materials, Program structure, session content, and non-public information developed by AgroBank and AI Station for the Program are confidential and may not be used or reproduced without written permission. 8.3 In the event of a breach of confidentiality obligations, the Participant shall be liable for damages in accordance with applicable legislation of the Republic of Uzbekistan. 8.4 AgroBank and AI Station are authorized to use information about Participants and their projects for marketing, communications, and PR purposes. Participants will be notified of specific uses and may withhold consent for particular use cases. Disclosure of confidential Pilot Project data or results requires the Participant's prior written consent.
9.1 Acceptance (акцепт) of this Public Offer occurs upon submission of the Program application form by the Participant or an authorized representative of the Startup team. 9.2 For team applications, acceptance by the team representative constitutes acceptance on behalf of all team members. 9.3 Acceptance of the Public Offer signifies unconditional agreement to all terms and conditions set out herein, without exception or limitation. 9.4 The Participant is solely responsible for providing accurate and complete information at the time of application.
10.1 Applications are accepted through the official Program application platform within the dates announced on the Program website. 10.2 All applications are reviewed by the Program Committee against the following criteria (non-exhaustive): Relevance of the startup's solution to AgroBank's departmental or SME client needs. Team strength and relevant experience. Evidence of product-market fit (MRR, user traction, or pilot experience preferred). Scalability potential within the Uzbekistan and Central Asia market. Readiness to conduct a structured Pilot Project within the Program. 10.3 Shortlisted applicants will be invited for founder interviews. Final selection of up to 20 startups per cohort will be made by the Program Committee. 10.4 The Program Committee reserves the right to accept or reject any application at its discretion and is not obliged to disclose reasons for rejection.
11.1 All Participants are required to maintain respectful and professional conduct toward AgroBank staff, mentors, Program operators, and fellow Participants at all times. 11.2 Any form of discrimination, harassment, or breach of professional ethics is strictly prohibited. 11.3 Participants must not, intentionally or through gross negligence, engage in conduct connected with their participation in the Program that damages the reputation of AgroBank, AI Station, or the Program. 11.4 Violation of the Code of Conduct may result in immediate removal from the Program.
12.1 AgroBank, AI Station, and Participants are released from liability for partial or complete failure to fulfill their obligations under this Public Offer if such failure results from circumstances beyond reasonable control, including natural disasters, acts of war, government decisions, or other force majeure events, provided that the other party is notified in writing within 10 business days of the event.
13.1 AgroBank and AI Station reserve the right to amend this Public Offer at any time by publishing updated terms on the official Program website. Participants who have already accepted the Offer will be notified of changes. 13.2 A Participant may withdraw from the Program at any time by submitting a written withdrawal notice to the Program Coordinator. Withdrawal does not entitle the Participant to any compensation. 13.3 In all matters not covered by this Public Offer, the parties are governed by the applicable legislation of the Republic of Uzbekistan.
14.1 Any disputes arising from this Public Offer shall first be addressed through negotiation between the parties. 14.2 If the parties are unable to reach agreement through negotiation, disputes shall be submitted to the competent court of the Republic of Uzbekistan in accordance with applicable law.
